• Search Engine Optimization (SEO)
• Content creation and management
• Website analytics setup
• Social media integration
• Third-party service integration

3. Client Responsibilities

As our client, you agree to:

3.1 Project Requirements

• Provide complete and accurate project requirements
• Respond to queries and provide feedback in a timely manner
• Provide all necessary materials (text, images, logos, etc.) in required formats
• Obtain necessary permissions for all materials provided

3.2 Content Ownership and Legal Compliance

• Ensure all content provided does not infringe on any copyrights, trademarks, or intellectual property rights
• Comply with all applicable Indian laws and regulations
• Ensure content does not promote illegal activities or contain offensive material
• Obtain necessary licenses for third-party content

3.3 Payment Obligations

• Make payments as per agreed schedule
• Pay applicable taxes (GST) as per Indian regulations
• Provide accurate billing information

6. Support: Post-launch support and maintenance

5. Payment Terms

5.1 Payment Schedule

5.2 Accepted Payment Methods

5.3 Taxes

All prices are exclusive of applicable taxes. Goods and Services Tax (GST) will be added as per current Indian government regulations. We will provide proper tax invoices for all payments.

6. Intellectual Property Rights

6.1 Client Content

You retain ownership of all content, materials, and data you provide for your website project.

6.2 The Digital Nook Rights

We retain ownership of:

• Source code, frameworks, and libraries used (unless specified otherwise)
• Proprietary tools and methodologies
• Design templates (unless custom created for client)
• Portfolio rights to display completed work (unless confidentiality agreement exists)

6.3 Third-Party Components

Any third-party components (themes, plugins, libraries) are subject to their respective licenses. You are responsible for compliance with these licenses.

7. Hosting Services Terms

7.1 Service Level Agreement (SLA)

We guarantee 99.5% uptime for our hosting services. Service credits may be provided for downtime exceeding this threshold.

7.2 Data Backup

We perform regular backups of hosted websites. However, clients are responsible for maintaining their own backups of critical data.

7.3 Resource Usage

Hosting resources (bandwidth, storage, CPU) are subject to fair usage policies. Excessive usage may require upgrade to higher plans.

7.4 Prohibited Content

The following content is prohibited on our hosting servers:

• Illegal or pirated software
• Malware, viruses, or harmful scripts
• Adult content (unless specifically allowed)
• Content promoting violence, hatred, or discrimination
• Spam-related content or activities

8. Project Delays and Changes

8.1 Client-Caused Delays

If project delays are caused by client's failure to provide materials, feedback, or approvals, project timelines will be extended accordingly. Additional charges may apply for significant delays.

8.2 Scope Changes

Changes to project scope after approval may result in:

• Revised project timeline
• Additional charges
• Revised delivery schedule

9. Termination of Services

9.1 Termination by Client

You may terminate services by providing written notice. Termination fees may apply as per our Refund Policy.

9.2 Termination by The Digital Nook

We may terminate services if:

• You violate these Terms
• You fail to make payments
• You provide false information
• Required by law or court order
• You engage in illegal activities using our services

9.3 Effect of Termination

Upon termination:

• All services will cease
• Outstanding payments become immediately due
• Access to hosting and services will be terminated
• You may request transfer of website files (additional charges may apply)

10. Warranties and Disclaimers

10.1 Service Warranties

We warrant that services will be performed in a professional manner using reasonable skill and care. However, we do not guarantee:

• Specific business results from website usage
• Search engine rankings
• Compatibility with all devices and browsers (though we strive for compatibility)
• Uninterrupted or error-free service

10.2 Third-Party Services

We are not responsible for third-party services (domain registrars, payment gateways, APIs) that may be integrated with your website.

11. Limitation of Liability

To the maximum extent permitted by Indian law, The Digital Nook shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from third-party services
• Security breaches not caused by our negligence
• Acts beyond our reasonable control (force majeure)

Our total liability shall not exceed the total amount paid by you for the services in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless The Digital Nook, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Content you provide or publish on your website
• Your infringement of third-party rights
• Your violation of applicable laws

13. Confidentiality

We agree to keep confidential all proprietary information you provide, except:

• Information that becomes publicly available
• Information we are required to disclose by law
• Information necessary for providing our services

14. Dispute Resolution

14.1 Negotiation

In case of disputes, both parties agree to attempt resolution through good faith negotiations for 30 days.

14.2 Mediation

If negotiation fails, disputes may be referred to mediation by a mutually agreed mediator in Noida, Uttar Pradesh.

14.3 Arbitration

If mediation fails, disputes shall be resolved by arbitration in Noida, Uttar Pradesh under the Arbitration and Conciliation Act, 1996.

14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts in Noida, Uttar Pradesh shall have exclusive jurisdiction.

15. Amendments to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or website announcement. Continued use of our services after changes constitutes acceptance of the revised Terms.
